Ghana requires a minimum of 2 directors. At least one must be ordinarily resident in Ghana. A corporate body cannot be a director.

Company Secretary

Required by law. Can be an individual or a corporate body. Must possess the qualifications specified under the Companies Act, 2019.

All companies limited by shares must appoint a licensed Ghanaian auditor. The auditor cannot be a director or employee of the company.

Beneficial Ownership Declaration

Required under Ghana's Companies Act 2019. List all individuals who ultimately own or control 5% or more of the company.

Share Capital Structure

Stamp duty is 1% of stated capital. Minimum stated capital for 100% Ghanaian companies is GHS 500.
